By accessing or using Billary ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.
2. Description of Service
Billary is a mobile application and web service that allows users to create, manage, and send invoices and estimates. The Service includes features for client management, payment tracking, and business reporting. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Send spam, fraudulent invoices, or misleading content
- Distribute malware or other harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Use the Service for any illegal or unauthorized purpose
5. Subscription and Payments
Billary offers both free and paid subscription plans. For paid subscriptions:
- Payment is due at the beginning of each billing cycle
- Subscriptions automatically renew unless cancelled
- Prices may change with 30 days notice
- Refunds are provided in accordance with applicable laws
- You can cancel your subscription at any time through the app
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Billary and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.
7. User Content
You retain ownership of any content you create using the Service (invoices, estimates, client data, etc.). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service. You are responsible for ensuring you have the right to use any content you upload.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLARY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Billary, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time through the app settings.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Billary operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of that jurisdiction.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
